The American process

LLC vs Corporation.

Typical LLC:

  • Single member/one owner (ie. Freelancer, Home Baker, Graphics)
  • Passthrough Taxation (taxed once via personal tax returns)
  • Legal protection (ie. personal assets are protected from lawsuits)
  • Annual Report + State Annual Fee to remain legally active

 

Typical “C Corp” Corporation:

  • 2+ member/board of directors
  •  Double Taxation (taxed at Corporate level and at personal tax returns) – Typically pay yourself.
  • Each board member is legally protected
  • Must keep documentation of:
    • Voting records
    • Owner’s names and ownership percentage
  • Annual Report + State Annual Fee to remain legally active

Step 1

Research your idea and desired business name on the Secretary of State website. Keep in mind social media handles, easy to spell website domain (.com, .net, .org), logo design and uniforms.

Step 2

Take full advantage of our great American tax system. A lot of your maintenance and operating costs are tax deductible AKA tax write-off. You must have an EIN by IRS (Employment Identification Number-it’s free!) for taxes and to setup a business bank account to pay vendors/employees.
